Decipher Connect Microsoft Add-In: Terms of Use (EULA)

 

1. Acceptance of Terms

By installing, accessing, or using the Decipher Connect Microsoft Outlook Add-In (“Add-In”), you agree to be bound by these Terms of Use. If you do not agree, do not use the Add-In.

2. Description of Service

Decipher Connect enables users to identify email senders, match them to CRM records, create leads, and initiate credit workflows through secure integration with Decipher Credit’s platform.

  • Create and manage leads
  • Initiate workflows

3. License Grant

Decipher Credit Solutions, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use the Add-In for internal business purposes.

4. Data Access and Usage

4.1 Limited Data Access

The Add-In only accesses the sender email address of the selected message.

  • No email body content is accessed
  • No attachments are accessed
  • No mailbox-wide access is performed

4.2 Data Processing

The sender email address is transmitted securely to Decipher systems to:

  • Match against CRM records
  • Retrieve associated data
  • Enable workflow actions

4.3 Data Storage

  • No data is stored locally in the Add-In
  • Data is processed only in secure backend systems

4.4 Privacy

All data handling is governed by our Privacy Policy:

5. Security

  • TLS 1.2+ encryption for all communications
  • Role-based access controls
  • Multi-factor authentication (MFA)
  • Monitoring and logging
  • No local credential storage

6. Customer Responsibilities

You are responsible for:

  • Using the Add-In lawfully
  • Obtaining necessary consents
  • Maintaining credential security
  • Ensuring compliance with applicable laws

7. Confidentiality

Both parties agree to protect confidential information and use it only for authorized purposes.

8. Subprocessors

Decipher may use subprocessors such as Amazon Web Services (AWS). All subprocessors are contractually bound to protect data.

9. Data Retention and Deletion

Data is retained only as long as necessary and is securely deleted upon Decipher Customer Terms of Service termination, subject to legal requirements.

10. Security Incident Response

Decipher maintains an incident response program and will notify customers of confirmed data breaches in accordance with applicable laws.

11. Audit and Compliance

Decipher maintains security controls aligned with SOC 2 principles and may provide summaries upon request.

12. Disclaimer of Warranties

The Add-In is provided “as is” without warranties of any kind.

13. Limitation of Liability

Decipher’s total liability shall not exceed the Customer fees paid in the preceding six months. Decipher is not liable for indirect or consequential damages.

14. Indemnification

You agree to indemnify Decipher against claims arising from misuse of the Add-In or violation of applicable laws.

15. Termination

Decipher may suspend or terminate access if these Terms are violated or if use poses a risk.

16. Governing Law

These Terms are governed by the laws of the State of Maryland, United States.

Data Processing Addendum (DPA)

1. Scope

This Addendum governs the processing of personal data by Decipher in connection with the Add-In.

2. Roles

Customer acts as the data controller.
Decipher acts as the data processor.

3. Processing Purpose

Data is processed solely to provide the Add-In functionality.

4. Data Protection Measures

  • Encryption in transit (TLS 1.2+)
  • Access controls (RBAC + MFA)
  • Monitoring and logging
  • Secure infrastructure (AWS)

5. Data Minimization

Only necessary data (sender email address) is processed.

6. Data Retention

Data is retained only as long as necessary and deleted upon upon Decipher Customer Terms of Service termination, subject to legal requirements.

7. Subprocessors

Subprocessors are contractually required to maintain appropriate security and confidentiality.

8. No Sale of Data

Decipher does not sell personal data.

9. Security Incidents

Decipher will notify customers of confirmed breaches in accordance with applicable laws.
